Refund, cancellation, subscription billing, prepaid Compute Credits and commercial Service conditions governing Swarmic Substrate.
This Refund & Cancellation Policy ("Policy") applies to subscriptions, prepaid Compute Credits, Top-Ups, and other paid services provided by Swarmic Substrate LLC, 131 Continental Dr, Suite 305, Newark, Delaware 19713, United States ("Swarmic", "Company", "we", "us", or "our"). This Policy forms part of the contractual framework governing the Services and should be read together with the applicable Terms of Service, Privacy Policy, and, where applicable, any executed MSA, SLA, Order Form, or DPA.
01 / 19

Commercial Nature of the Services

  1. Swarmic provides software infrastructure, workflow automation, cloud orchestration, multi-agent synchronization, document-processing, compute-credit, and related professional technology services.
  2. The Services are primarily designed for business customers, companies, sole proprietors, professional developers, and other customers acting in the course of business, trade, craft, or profession.
  3. The applicable commercial terms, including price, currency, billing interval, included Compute Credits, Top-Up quantities, and applicable taxes, are presented to the Customer before completion of the relevant purchase.
  4. Nothing in this Policy excludes, restricts, or limits any statutory right, remedy, refund entitlement, cancellation right, or other protection that cannot lawfully be excluded or limited under applicable law.
02 / 19

Subscription Billing

  1. Paid subscriptions may operate on a recurring monthly, annual, or other billing interval specified at checkout or in the applicable commercial agreement.
  2. Unless otherwise stated, a subscription renews automatically for successive billing periods until cancelled.
  3. The price and currency displayed at the applicable checkout for the relevant Customer and region govern the transaction.
  4. Taxes, VAT, sales taxes, or similar charges may be added where required by applicable law.
  5. Where a Customer provides valid business tax information, the applicable tax treatment depends on the Customer's jurisdiction, tax status, and applicable law.
03 / 19

Cancellation of Subscriptions

  1. Customers may cancel recurring subscriptions before the next scheduled renewal date using the billing or account-management mechanism made available by Swarmic or, where applicable, by contacting Swarmic support.
  2. Cancellation prevents future recurring renewal charges from being incurred after the effective cancellation date.
  3. Unless applicable law or the applicable commercial agreement provides otherwise, cancellation does not retroactively terminate a billing period that has already commenced.
  4. A Customer who cancels a subscription will generally retain access to the applicable paid Services until the end of the already-paid subscription period, subject to the Terms of Service and any applicable suspension or security provisions.
  5. Cancellation of a subscription does not automatically constitute a request for, or entitlement to, a refund for the current billing period.
04 / 19

Monthly Compute Credits

  1. Subscription plans may include a monthly allocation of Compute Credits.
  2. Unless expressly stated otherwise in the applicable commercial agreement, monthly subscription Credits are allocated at the beginning of each billing cycle.
  3. Unused monthly subscription Credits do not roll over to subsequent billing periods and expire at the end of the applicable billing cycle.
  4. Expiration of unused subscription Credits does not constitute an additional charge or separate purchase.
05 / 19

Prepaid Top-Ups

  1. Swarmic may offer separately purchased prepaid Compute Credit Top-Ups.
  2. Illustrative Top-Up packages may include:
    • Starter: 5,000 Credits;
    • Growth: 15,000 Credits;
    • Advanced: 25,000 Credits.
  3. The applicable price, currency, quantity, and lifecycle of a Top-Up are those displayed at the time of purchase.
  4. Unless expressly stated otherwise at checkout or in an applicable commercial agreement, prepaid Top-Up Credits remain available in the relevant Workspace balance until consumed or otherwise terminated in accordance with the Terms of Service or applicable law.
  5. Top-Up Credits do not constitute money, stored-value funds, a deposit, or a financial account and may only be used for the Services for which they were purchased.
06 / 19

Refunds

  1. Swarmic's Services involve allocation of software functionality, cloud infrastructure capacity, compute resources, and other operational resources.
  2. To the maximum extent permitted by applicable law, completed commercial transactions and prepaid infrastructure allocations are intended to be final once the applicable Service period has commenced or the prepaid allocation has been provisioned.
  3. Accordingly, Swarmic generally does not provide discretionary refunds for:
    • unused subscription time following voluntary cancellation;
    • unused monthly subscription Credits after their scheduled expiration;
    • Compute Credits already consumed;
    • prepaid Top-Up Credits, except where required by applicable law or expressly agreed in writing;
    • Customer's failure to use the Services;
    • Customer's failure to cancel a subscription before renewal; or
    • changes in Customer requirements, preferences, or business circumstances.
  4. Nothing in this Policy excludes a refund, replacement, price adjustment, cancellation right, or other remedy where such remedy is required by mandatory applicable law.
  5. Swarmic may, at its sole commercial discretion, provide a refund, credit, replacement service, or other adjustment in exceptional circumstances. Any such accommodation does not establish a continuing obligation to provide equivalent treatment in future cases.
07 / 19

EU / EEA Customer Provisions

  1. Swarmic primarily provides the Services on a B2B basis. Where a Customer is a business, professional, sole proprietor, or other person acting in the course of business, the commercial terms applicable to that Customer shall apply to the maximum extent permitted by mandatory law.
  2. Where a Customer qualifies as a consumer under applicable EU/EEA law, Swarmic does not purport to exclude or waive mandatory consumer rights.
  3. Where mandatory EU/EEA consumer withdrawal, cancellation, conformity, refund, or other statutory rights apply, those rights remain unaffected by this Policy.
  4. Where applicable law permits digital services or digitally supplied functionality to begin before the expiry of a withdrawal period subject to specified requirements, Swarmic may apply the legally applicable rules governing commencement of performance, withdrawal, and any corresponding consumer payment obligations.
  5. Nothing in this Policy shall be interpreted as requiring a consumer to waive a statutory right that cannot lawfully be waived.
08 / 19

United Kingdom Customer Provisions

  1. Swarmic primarily provides the Services to businesses and professional customers.
  2. Where a Customer is a UK consumer and mandatory consumer legislation applies, Swarmic does not exclude or waive any statutory consumer rights that cannot lawfully be excluded.
  3. Where UK law provides a cancellation, refund, repair, replacement, price reduction, or other mandatory remedy, the applicable statutory rules shall prevail over any inconsistent provision of this Policy.
  4. Where the Customer is acting in the course of business, commercial cancellation and refund provisions apply to the maximum extent permitted by applicable law.
09 / 19

United States and Other Jurisdictions

  1. For Customers located in the United States or other jurisdictions, refunds and cancellations are governed by this Policy together with the applicable Terms of Service and mandatory local law.
  2. Nothing in this Policy limits any non-waivable statutory rights applicable to a particular Customer or transaction.
  3. Where a commercial Customer is legally permitted to agree that completed Services and prepaid capacity are non-refundable, the parties intend the transaction to be final except as otherwise expressly agreed.
10 / 19

Billing Errors and Unauthorised Charges

  1. Customers should promptly notify Swarmic of suspected billing errors, duplicate charges, incorrect pricing, or transactions that the Customer reasonably believes were not authorised.
  2. Swarmic will review reported billing discrepancies in good faith.
  3. Where Swarmic confirms that a material billing error occurred, Swarmic may issue an appropriate correction, account credit, refund, or other adjustment.
  4. This section does not limit any rights available to the Customer under applicable payment, banking, consumer-protection, or other mandatory law.
11 / 19

Service Interruption or Material Service Failure

  1. Temporary outages, scheduled maintenance, infrastructure degradation, third-party dependency failures, or other technical interruptions do not automatically create a right to a refund unless required by applicable law or expressly provided under an applicable SLA or commercial agreement.
  2. Enterprise Customers with an executed SLA or MSA may have specific service credits, refunds, termination rights, or other remedies established under that agreement.
  3. Where Swarmic materially fails to provide a paid Service and a mandatory legal remedy applies, Swarmic will provide the remedy required by applicable law.
12 / 19

Enterprise Agreements

  1. Enterprise Customers may receive individually negotiated refund, cancellation, service-credit, termination, or payment provisions under an executed MSA, Order Form, or SLA.
  2. Where an executed enterprise agreement expressly conflicts with this Policy, the executed enterprise agreement controls to the extent of that conflict.
  3. Mandatory applicable law remains controlling regardless of the contractual hierarchy.
13 / 19

Account Suspension and Termination

  1. Suspension or termination resulting from material breach, unlawful activity, fraud, security abuse, non-payment, or other grounds permitted under the Terms of Service does not automatically create a refund entitlement.
  2. Swarmic will not use this section to unlawfully deprive a Customer of a mandatory statutory refund or other non-waivable legal remedy.
  3. The handling of Customer Data following termination is governed by the Terms of Service, Privacy Policy, and, where applicable, the DPA.
14 / 19

No Unauthorised Overage

  1. Unless expressly agreed otherwise, Swarmic does not authorise unlimited or uncontrolled paid overage beyond the Customer's available Compute Credit balance.
  2. Where a Workspace reaches zero available Credits, applicable automated workflows may pause until additional capacity is purchased or otherwise made available.
  3. Any separately agreed enterprise overage arrangement is governed by the applicable commercial agreement.
15 / 19

Payment Processing

  1. Payments may be processed through third-party payment processors, financial institutions, banking infrastructure, or other payment providers selected by Swarmic.
  2. Swarmic will identify a specific payment provider where required by applicable law or where that provider is expressly presented to the Customer during checkout.
  3. Swarmic does not represent that any particular payment provider, Merchant of Record, reseller, or payment gateway is engaged unless that relationship is actually in effect.
16 / 19

18 / 19

Changes to this Policy

  1. Swarmic may update this Policy from time to time to reflect changes to its Services, billing architecture, applicable law, or commercial practices.
  2. The "Last Updated" date will be updated when material changes are made.
  3. Nothing in an amended version of this Policy will retrospectively remove a mandatory statutory right that has already accrued.
19 / 19

Severability

  1. If any provision of this Policy is found to be invalid, unlawful, or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable, where legally permitted.
  2. The remaining provisions shall continue in full force and effect.
